Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the LearnSys platform ("Service") operated by iGears Technology Limited (科擎科技有限公司). By accessing or using the Service, you agree to be bound by these Terms.
2. Definitions
- "Customer" — an organization or business entity that subscribes to the Service.
- "User" — any individual authorized by a Customer to access the Service.
- "Customer Data" — all data entered, uploaded, or generated within a Customer's workspace.
- "We" / "Us" — iGears Technology Limited.
3. Account registration
To use the Service, you must register an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorized access.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable regulations.
- Attempt to gain unauthorized access to other Customers' data or system infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Transmit malicious code, spam, or content that infringes third-party rights.
- Use the Service in a manner that degrades performance for other users.
- Resell or sublicense access to the Service without prior written consent.
5. Customer data ownership
Customers retain all ownership rights to their Customer Data. We do not access, use, or disclose Customer Data except as necessary to provide the Service, comply with law, or as described in our Privacy Policy.
6. Service availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by circumstances beyond our reasonable control.
7. Billing and payments
Subscription fees are billed according to the plan selected by the Customer. Fees are non-refundable except as required by law or as stated in a separate service agreement. We reserve the right to adjust pricing with at least 30 days' notice before the next billing cycle.
8. Suspension and termination
We may suspend or terminate access to the Service if you breach these Terms, fail to pay fees when due, or engage in activity that threatens the security or integrity of the platform. You may cancel your subscription at any time through the platform or by contacting us.
Upon termination, we will make Customer Data available for export for 30 days. After that period, we may delete Customer Data in accordance with our data retention policy.
9. Intellectual property
The Service, including its design, code, features, and documentation, is the intellectual property of iGears Technology Limited. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose during the subscription period.
10. Limitation of liability
To the maximum extent permitted by law, iGears Technology Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by the Customer in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless iGears Technology Limited, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.
12. Modifications
We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via the platform or email. Continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
